Terms & Conditions
Last updated: September 12, 2026
1. Who we are
Dudill is a secure data room and file sharing service operated by Nosoft Pte Ltd. ("Nosoft", "we", "us"). When you create an account or use the service, you are contracting with Nosoft Pte Ltd. By accessing or continuing to use Dudill, you agree to these Terms & Conditions. If you use Dudill on behalf of a company, you confirm you have the authority to bind that company; otherwise you confirm you are of legal age to enter into this agreement.
2. The service
Dudill lets you create data rooms, upload documents and links, organise them into folders, share a single link with visitors, and see which files each visitor opened and for how long. Files you share are view-only for visitors.
We grant you a limited, non-exclusive, non-transferable right to use the service within the limits of your plan (Free or Pro). You may not reverse engineer the service, resell or redistribute it, or circumvent plan limits or other technical restrictions.
3. Acceptable use
You must not misuse the service. This includes, without limitation:
- Using the service for anything unlawful, fraudulent, or deceptive;
- Sending spam or using rooms to phish or harvest personal data;
- Uploading content that infringes intellectual property or other rights;
- Interfering with the service's security — introducing malware, probing or scanning systems, or scraping the service without permission.
4. Your account and content
You are responsible for keeping your account credentials confidential and for all activity under your account. You must provide accurate information when signing up and keep it up to date.
You retain all rights to the documents and content you upload. You grant us a limited license to host, store, and process that content solely to provide the service to you and your visitors.
5. Intellectual property
Nosoft Pte Ltd. retains all ownership of the service and its intellectual property, including the software, documentation, and the Dudill name and branding. Nothing in these terms transfers any of those rights to you.
6. Payments and subscriptions
Paid plans are billed by our reseller, Paddle. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
Payment, billing, tax, renewal, cancellation, and refund mechanics are governed by Paddle's Buyer Terms. Subscriptions renew automatically until cancelled. When you cancel, you keep access to paid features until the end of your current paid period. See our Refund Policy.
7. Service availability and warranties
We work hard to keep Dudill reliable, but we do not guarantee uninterrupted or error-free performance. To the fullest extent permitted by law, the service is provided "as is" and we disclaim all implied warranties, including merchantability and fitness for a particular purpose.
8. Liability
To the fullest extent permitted by law, we are not liable for indirect, consequential, or special damages — including loss of profits, data, or goodwill. Our aggregate liability to you is capped at the fees you paid us in the 12 months before the event giving rise to the claim. Nothing in these terms excludes liability for fraud, death, or personal injury where the law does not allow it.
You indemnify Nosoft Pte Ltd. against claims arising from content you upload, your unlawful use of the service, or your breach of these terms.
9. Suspension and termination
We may suspend or terminate your access if you materially breach these terms, fail to pay, create a security or fraud risk, or repeatedly violate our policies. When your access ends, your right to use the service stops immediately. You may export your data before termination; afterwards, we may delete your rooms, files, and visitor data.
10. General
These terms are governed by the laws of Singapore, and disputes will be resolved in the courts of Singapore. You may not assign these terms without our consent; we may assign them in connection with a merger or acquisition. We are not responsible for failures caused by events beyond our reasonable control.
Questions about these terms: contact us through the support address listed on our website or your Paddle receipt.
